Innovate Energy - Terms and Conditions

Incorporation

These Terms and Conditions govern all contracts for the sale of goods and/or the provision of services by Innovate Energy (hereinafter "Innovate Energy") to the Customer. They constitute the entire agreement between the parties, superseding all prior agreements, negotiations, and representations. No modifications, including those proposed in the Customer's purchase order, shall be binding upon Innovate Energy unless confirmed in writing by an authorized representative.

Payment

Payment for all works performed by Innovate Energy shall be due upon completion unless expressly agreed otherwise in writing. Innovate Energy reserves the right to withhold the return of the Customer's property until full payment is received.

Deposit Details:

  • Repairs/Special Order Installations: A deposit of fifty percent (50%) of the quoted price or the cost price of parts (including GST), whichever is greater, is required.
  • Standard Installations: A deposit of ten percent (10%) is required.
  • Failure to settle payments within the agreed credit terms shall result in the suspension of further credit, which will not be reinstated until all overdue amounts are paid.
  • An interest charge on overdue payments shall be applied at an annual rate equivalent to the ANZ Bank's current overdraft rate as of the date the payment became overdue.
  • The Customer is required to execute all relevant rebate documents. Failure to do so may result in Innovate Energy invoicing the Customer for the corresponding rebate amount.
  • Any cancellation after materials have been ordered will result in forfeiture of the deposit.

Service Calls

  • A service call fee of \$90 is required for scheduling any diagnostic, repair, or minor maintenance services.
  • The service call fee does not include onsite labor time. Onsite services are billed at \$150 per hour (rounded up to the nearest 30-minute increment), plus applicable material costs (except for RV services as detailed in Section 11).
  • A minimum service charge of one hour applies to all callouts, except for air conditioning diagnoses which are billed at 30 minutes. Additional time beyond the minimum will be charged in 30-minute increments.
  • Refunds of the service fee (less the card surcharge and a \$10 administrative fee) are available when cancellations are made at least two business days prior to the appointment.
  • Cancellations within two business days of the scheduled appointment will result in the forfeiture of the deposit.
  • If property access is denied upon technician arrival, necessitating a rescheduled appointment, a subsequent service call fee of \$90 will be required.

Quotations and Prices

  • All quotations provided by Innovate Energy shall be regarded as invitations for negotiation and do not constitute formal contractual offers.
  • Quotations remain valid for seven (7) days from issuance; however, Innovate Energy reserves the right to amend or withdraw any quotation at any time.
  • The quoted prices are based on the Customer's specifications and requirements; any changes may result in price variations.
  • Unless otherwise stated, all prices are inclusive of GST.
  • All quoted prices reflect applicable rebates unless specified otherwise; Innovate Energy shall claim such rebates directly as appropriate.

Delivery

  • Delivery times provided are estimates only, and Innovate Energy shall not be liable for any delays.
  • In the event of significant delays beyond a reasonable timeframe, Innovate Energy will work with the Customer to identify and implement suitable remedies, including rescheduling or alternative arrangements, where feasible.
  • The Customer remains obligated to accept and pay for the goods irrespective of any delivery delays.
  • Deliveries may be executed in installments at the sole discretion of Innovate Energy.
  • Risk in the goods transfers to the Customer upon delivery.

Warranty and Claims

  • Installation Warranty: Covers workmanship and associated materials for a period of twelve (12) months. Repairs for any defects shall be provided within this period.
  • Service Warranty: Covers workmanship for service repair work for a period of three (3) months. Repeat services will be provided if defects are identified.
  • The warranty excludes routine maintenance, power failures, misuse, lack of maintenance, or operator error.
  • The Customer shall be responsible for any freight and travel expenses incurred in relation to warranty claims.
  • Manufacturer warranties apply where relevant; if a manufacturer determines that a claim is outside of its warranty terms, the Customer shall be liable for all associated repair costs.
  • Proof of purchase is required for all warranty claims.
  • Any modifications made to the installed system by an unauthorized contractor may void the warranty at Innovate Energy's discretion.

Retention of Title

  • All equipment supplied by Innovate Energy shall remain its property until full payment is received.
  • In the event of default, Innovate Energy reserves the right to enter the premises and recover the goods.
  • If goods are indistinguishable from other stock, Innovate Energy may secure comparable items for verification purposes.
  • Should the Customer incorporate the supplied goods into another product, a portion of the sale proceeds must be held in trust for Innovate Energy.

Personal Properties and Securities Act 2009 (PPSA)

  • Innovate Energy retains a Purchase Money Security Interest (PMSI) over all supplied goods.
  • The Customer hereby waives any right to notification or access to PPSA registration documentation.
  • The Customer agrees to indemnify Innovate Energy for any costs incurred in connection with PPSA registration and enforcement.

Retention Money

  • The Customer is not entitled to retain or withhold any portion of the purchase price as retention money unless expressly agreed in writing.

Indemnity

  • The Customer agrees to indemnify and hold Innovate Energy harmless from any losses or damages arising from any breach of these Terms and Conditions.

Exclusions

  • Prices exclude any work related to pre-existing site conditions, building deterioration, hazardous materials, or any structural modifications not expressly included in the quotation.
  • The Customer is responsible for ensuring that any required structural work is explicitly included in the agreed quotation.

Special Conditions for RVs, Motorhomes, or Similar

Repairs & Diagnosis

  • A diagnostic fee of \$250 is applicable for the first hour; subsequent diagnostic time will be billed at \$165 per hour.
  • Parts and materials are invoiced separately.
  • The Customer authorizes up to three (3) hours of diagnostic evaluation without requiring further consent.
  • Diagnostic fees remain payable regardless of any subsequent repair approvals.
  • Cancellation of repair services may incur a charge equivalent to the fifty percent (50%) deposit.

Installations

  • Installation quotations assume that the vehicle has adequate structural integrity.
  • Replacements are based on the use of existing cutouts; additional structural modifications are not included unless expressly stated.
  • For installations requiring the removal and reinstallation of solar panels for AC systems, additional charges of up to \$900 may apply.
  • Cancellations of installation services may be subject to fees as outlined in the cancellation policies.

General

  • Vehicles must be collected within three (3) business days upon work completion; otherwise, a storage fee of \$25 per day will apply.
  • Innovate Energy shall not be liable for waterproofing issues resulting from manufacturer defects or pre-existing vehicle conditions.
  • Claims for damages must be reported within 24 hours of vehicle collection.
  • All repair, diagnostic, and installation services require a minimum service period of one (1) business day.
  • For occupational health and safety reasons, the Customer is prohibited from being present in the workshop or service vehicle during operations.
  • If a warranty claim is deemed ineligible owing to physical damage, tampering, or missing documentation, diagnostic fees of \$250 for the first hour and \$165 for each subsequent hour shall apply.
